Job Summary
Reporting to the leader of the Transactional Center of Expertise (COE), the Senior Counsel will be a key member of the Law and Business Environment (LBE) team and will work closely with senior business leaders, other members of Transactional COE and LBE, and other stakeholders to deliver transactional legal services with a focus on end-user satisfaction and outcomes. The Senior Counsel is responsible for negotiating, drafting, and reviewing a variety of global sales contracts, providing advice on general business matters, supervising outside counsel (as necessary), and developing and improving processes. The Senior Counsel should have experience supporting global sales teams, experience drafting technology-related contracts, broad legal skills and a superior business judgment, as well as the ability to effectively manage risk, while pursuing company strategies. Experience supporting an international manufacturing company strongly preferred.
Key Tasks & Responsibilities (Essential Functions)
Review, draft, and negotiate a wide range of sales related contracts such as:
- Service agreements, customer/partner agreements, MSAs, sales agency agreements, teaming agreements, strategic alliance contracts, and professional services agreements
- Distributor, dealer, integrator, reseller, OEM, and similar contracts
- Technology sales and licensing agreements, SaaS, EULAs, and master subscription agreements
- International sales agreements and government contracts
Provide commercial counsel and advice for internal business customers and manage outside counsel
Assist with process improvement for contract management and develop and maintain legal templates, playbooks, and contracting standards
Provide legal support for M&A due diligence, support special projects, and collaborate with senior attorneys on complex legal matters
Skills and Minimum Experience Required
- Experience reviewing and negotiating a variety of commercial and sales agreements
- Ability to work independently, manage and prioritize projects and meet deadlines while handling multiple tasks with minimal supervision
- Legal research and drafting proficiency
- Strong written and verbal communication skills
- Ability to handle a large-volume of work in a fast-paced environment
- Highly organized with attention to detail
- Business-oriented problem solving and judgment
- Collaborative mindset and ability to work cross-functionally
- Ability to exercise independent legal judgement within company’s risk tolerance
- Familiarity with contract lifecycle tools or legal operations platforms is a plus
- Experience advising an international manufacturing business and negotiating global contracts is strongly preferred
- Positive, team-oriented, and collaborative attitude
Education (Minimum Required)
- Juris Doctor (JD) from an accredited law school
- Active bar membership in at least one U.S. jurisdiction
Years of Experience (Minimum Required)
- 8+ years of relevant legal experience (some in-house experience preferred), preferably with a focus on commercial contracting and technology
Preferred Skills and Experience
Preferred Education
- JD from an ABA-accredited or top-tier law school
Preferred Experience
- Experience supporting in-house legal teams
- Exposure to legal operations, M&A support, or internal compliance processes
- Strong technology background
- Familiarity with commercial contracting in a publicly-traded global company
- Experience supporting an international manufacturing company strongly preferred

The range for this position is $154,700.00 to $278,400.00. Placement within this range may vary, depending on the applicant’s experience and geographic location.
